1. Agreement to Terms

By accessing or using the website hexiduslabs.com (the "Site") or engaging Hexidus Labs ("Hexidus Labs," "we," "us," or "our") for professional services, you ("you," "User," or "Client") agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Site or our Services.

2. About Hexidus Labs

Hexidus Labs is a sole proprietorship operating under Robert Piedra, based in Miami-Fort Lauderdale, Florida. We provide professional services related to website development, patient intake systems, online booking integration, AI tool integration, payment processing setup, and business operations support for independent healthcare and wellness practices (the "Services").

3. Scope of Services

The specific services we provide to a Client are limited to what is agreed in a separate written Professional Services Agreement between Hexidus Labs and the Client. These Terms govern your general use of the Site and serve as a framework alongside any Services Agreement; these Terms do not, by themselves, create an obligation for us to provide any specific Service.

4. Important Healthcare Disclaimer

Hexidus Labs does not provide medical, clinical, diagnostic, treatment, or healthcare advice. Our Services are limited to technology, design, and business operations support for healthcare and wellness practices. Nothing on the Site or in any of our Services should be construed as the practice of medicine, nursing, or any other licensed healthcare profession.

The Site is informational and marketing in nature. If you are a patient seeking medical care, please contact a licensed healthcare provider directly. We do not provide patient-facing services through the Site.

5. Eligibility

To engage our Services, you must be:

  • At least 18 years of age
  • The authorized representative of the practice or business engaging us
  • Operating a legitimate, lawful business
  • Able to enter into a binding contract under applicable law

6. Use of the Site

You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You will not:

  • Use the Site to violate any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Site or its systems
  • Interfere with or disrupt the Site's operation
  • Use automated means (bots, scrapers, crawlers) to extract data from the Site without our prior written consent
  • Submit false, misleading, or fraudulent information through Site forms
  • Use the Site to send unsolicited communications or spam
  • Reverse engineer, decompile, or copy the Site's design or code for competing purposes
  • Use the Site or any content on it to train artificial intelligence or machine learning models without our prior written consent

7. Intellectual Property

7.1 Hexidus Labs Materials

The Site and all content, design, code, branding, images, text, logos, and other materials are owned by Hexidus Labs or its licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for personal or business evaluation purposes. This license does not grant any right to copy, modify, distribute, sublicense, or create derivative works.

7.3 Trademarks

"Hexidus Labs" and associated logos are trademarks of Hexidus Labs. You may not use these without our prior written consent.

7.4 Client Deliverables

Intellectual property rights in deliverables we create for a Client under a Services Agreement are governed by that Agreement, not by these Terms.

8. User Submissions

If you submit information or content through Site forms (contact form, inquiry, intake submissions, comments), you grant Hexidus Labs a perpetual, non-exclusive, royalty-free, worldwide license to use that information for the purposes of:

  • Responding to your inquiry
  • Providing requested Services
  • Improving our offerings
  • Anonymized portfolio and case study use

You represent and warrant that you have the right to submit any information or content you provide, and that it does not infringe on any third party's rights.

9. Disclaimer of Warranties

THE SITE AND ALL INFORMATION, CONTENT, AND MATERIALS ON THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Use of the Site is at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEXIDUS LABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claim arising from your use of the Site (separate from any Services Agreement) will not exceed one hundred United States dollars ($100).

For Clients engaging our Services under a separate Services Agreement, the limitation of liability terms in that Agreement govern claims related to those Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless Hexidus Labs and Robert Piedra from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party right (including intellectual property or privacy rights)
  • Your use of the Site

12. Third-Party Links and Services

The Site may contain links to third-party websites or reference third-party services. We do not control and are not responsible for the content, practices, or policies of third parties. Use of third-party services is at your own risk and subject to those third parties' terms and policies.

13. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Termination does not relieve you of any obligations accrued prior to termination. Sections 7, 9, 10, 11, and 14 will survive termination.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles.

14.2 Dispute Resolution

Any dispute arising from or related to these Terms will be resolved as follows:

  1. Good-faith negotiation between the parties for at least thirty (30) days
  2. If unresolved, non-binding mediation in Miami-Dade County, Florida
  3. If mediation fails, binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the seat of arbitration in Miami-Dade County, Florida

14.3 Class Action Waiver

You agree to resolve disputes only on an individual basis. You waive any right to participate in a class action, class arbitration, or representative action against Hexidus Labs.

15. Changes to These Terms

We may revise these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of these Terms and may notify you by Site notice or email. Continued use of the Site after changes constitutes acceptance of the revised Terms.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Services Agreement, constitute the entire agreement between you and Hexidus Labs regarding the Site.

16.2 Severability

If any provision of these Terms is found unenforceable, the remainder of these Terms will remain in full force and effect.

16.3 No Waiver

Our failure to enforce any provision is not a waiver of future enforcement of that or any other provision.

16.4 Assignment

You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a sale of substantially all of our assets.

16.5 Electronic Communications

By using the Site, you consent to receiving electronic communications from us. You agree that electronic notices satisfy any legal requirement for written notice.

16.6 Force Majeure

Neither party will be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, government action, or internet/utility failures.
